Terms of Service

1. Acceptance of Terms

By accessing or using the UnitySVC platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform. These Terms apply to all users, including Customers who subscribe to services and Sellers who list services on our marketplace.

2. Description of Service

UnitySVC operates a marketplace platform that connects service providers ("Sellers") with consumers ("Customers"). Our Platform enables:

• Sellers to list and offer AI/ML services including but not limited to: large language models (LLMs), embedding services, text-to-speech, speech-to-text, image generation, video generation, and translation services
• Customers to discover, subscribe to, and access these services via API endpoints
• Management of subscriptions, API keys, team collaboration, and usage analytics
• Three service deployment models: Managed Services (hosted by sellers), Bring Your Own Key (BYOK), and Self-Hosted solutions

3. User Accounts

To access certain features of the Platform, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your account credentials and API keys
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account
• Not share your account credentials or API keys with unauthorized parties

You may operate as a Customer, a Seller, or both. Each role has specific responsibilities outlined in these Terms.

4. Customer Terms

As a Customer subscribing to services on UnitySVC, you agree to:

• Use services only for lawful purposes and in accordance with each service's acceptable use policy
• Not exceed your subscription's usage limits or attempt to circumvent rate limiting
• Not reverse engineer, decompile, or attempt to extract the source code of any service
• Not resell, sublicense, or redistribute access to services without explicit authorization
• Comply with all applicable laws regarding the content you process through our services
• Not use services to generate harmful, illegal, or misleading content

5. Seller Terms

As a Seller listing services on UnitySVC, you agree to:

• Provide accurate descriptions of your services, including capabilities, limitations, and pricing
• Maintain service availability and performance as advertised
• Respond to customer support inquiries in a timely manner
• Comply with all applicable laws and regulations regarding your services
• Not list services that infringe on intellectual property rights of others
• Indemnify UnitySVC against claims arising from your services
• Accept our marketplace commission structure as outlined in your Seller Agreement

UnitySVC reserves the right to remove any service listing that violates these Terms or our community guidelines.

Access to services is provided through API endpoints. You agree to:

• Respect rate limits and quotas associated with your subscription tier
• Implement appropriate error handling and backoff strategies
• Not attempt to bypass security measures or access controls
• Keep your API keys confidential and rotate them if compromised
• Monitor your usage to avoid unexpected charges

We reserve the right to throttle or suspend API access for accounts that consistently exceed limits or engage in abusive behavior.

Your use of the Platform is also governed by our Privacy Policy. Key points include:

• We collect and process data necessary to provide our services
• API request content may be processed by third-party service providers (Sellers)
• We implement industry-standard security measures to protect your data
• You are responsible for obtaining necessary consents for data you process through our services
• Enterprise customers may negotiate custom data processing agreements

10. Prohibited Uses

You may not use the Platform to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Transmit malware, viruses, or harmful code
• Engage in fraudulent or deceptive practices
• Harass, abuse, or harm others
• Generate illegal content including CSAM, weapons instructions, or content promoting violence
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with the proper functioning of the Platform
• Scrape or collect data from the Platform without authorization

11. Service Availability and Disclaimers

THE PLATFORM AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. We do not guarantee:

• Uninterrupted or error-free service
• Accuracy or reliability of AI-generated outputs
• That services will meet your specific requirements
• The quality, safety, or legality of services listed by Sellers

You acknowledge that AI services may produce inaccurate, biased, or inappropriate outputs and agree to implement appropriate human oversight.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNITYSVC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL. Our total liability shall not exceed the amounts paid by you in the twelve (12) months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless UnitySVC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Platform or services
• Your violation of these Terms
• Your violation of any third-party rights
• Content you input into or generate through our services

15. Dispute Resolution

Any disputes arising from these Terms or your use of the Platform shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive any right to participate in class actions. For claims under $10,000, you may choose small claims court instead of arbitration.

16. Changes to Terms

We may modify these Terms at any time by posting the revised version on our Platform. Material changes will be communicated via email or platform notification at least 30 days before taking effect. Your continued use of the Platform after changes take effect constitutes acceptance of the modified Terms.

17. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and UnitySVC regarding the Platform.
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
• Waiver: Failure to enforce any provision does not waive our right to enforce it later.
• Assignment: You may not assign your rights under these Terms. We may assign our rights to any successor.
• Governing Law: These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
